SECTION 21 – ARBITRATION

In the interest of resolving disputes between you and Clarke Bioscience in the most expedient and cost-effective manner, you and Clarke Bioscience agree that every dispute arising in connection with these Terms and Conditions, your use of the Clarke Bioscience website, or your purchase of any products from Clarke Bioscience will be resolved by binding arbitration. This agreement to arbitrate is intended to be broadly interpreted and includes, but is not limited to, all claims arising out of or relating to any aspect of these Terms and Conditions, the Clarke Bioscience website, or your purchase and use of the product, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms and Conditions. Except as explicitly provided in this Section, arbitration shall be the sole and exclusive method of resolving any disputes, and no party shall have the right to resolve any dispute in a court of law except as expressly stated herein.

Opt-Out Provision: You have the right to opt-out of this arbitration agreement by notifying Clarke Bioscience in writing within 30 days of first accepting these Terms and Conditions. Your notice must clearly state that you are rejecting arbitration and include your full name, address, and the email address you used to register with Clarke Bioscience. Opting out of this arbitration agreement has no effect on any other arbitration agreements that you may currently have, or may enter in the future, with us.

Exception for Small Claims Court Claims: Notwithstanding the foregoing, either you or Clarke Bioscience may bring an individual action in small claims court if the claim and the parties are within the jurisdiction of the small claims court and the claim does not require class treatment.

Class Action Waiver: YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND CLARKE BIOSCIENCE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

SECTION 22 – CLASS ACTION WAIVER

You and Clarke Bioscience agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and Clarke Bioscience agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

The Clarke Bioscience mobile message service (the “Service”) is operated by Clarke Bioscience (“Clarke Bioscience”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Clarke Bioscience’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Clarke Bioscience through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include alerts and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Clarke Bioscience. Your participation in this program is completely voluntary.
